BEFORE PROCEEDING WITH THE SUBSCRIPTION PROCESS, PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF BECOMING A 3DFORECAST.COM SUBSCRIBER. BY COMPLETING SUBSCRIPTION PROCESS OR BECOMING A SUBSCRIBER OF 3DFORECAST.COM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO ACCEPT THE TERMS OF THIS AGREEMENT.

3DFORECAST.COM MEMBERSHIP AND SUBSCRIPTION AGREEMENT

LEGAL DISCLAIMER

Under the terms of this Agreement ("Agreement"), 3DForecast.com ("we", "our" or "us") provides or arranges to make available on-line financial information (the "Service") to its registered subscribers or authorized users ("you", "your" or "subscriber"). By completing subscription process or becoming a subscriber, you accept and agree that, each time you use this Service, you are bound by this Agreement.

This Agreement constitutes the entire agreement between you and us and supersedes any other communication between us. You agree that whenever new products or services become available, your use will be subject to this Agreement unless we notify you otherwise. We have the right to change these terms and conditions or require new terms at any time. These changes or additions shall be effective no later than ten (10) days after notification has been given to you by any means which give you actual knowledge of them ("effective date"). If any change is not acceptable, you may terminate your subscription as described below, but your use of the Service following the effective date of any change will constitute your acceptance of all changes.

3DForecast.com is not a registered Investment Adviser or a Broker/Dealer. The reports, commentary, discussion, etc. contained on this site solely for informational purposes and are not construed as an offer to sell or a solicitation of an offer to buy any and all investment securities referred to on this site, or a "Buy" or "Sell" or "Short" recommendation. The opinions and analyses included herein are based from sources believed to be reliable and written in good faith, but no representation or warranty, expressed or implied is made as to their accuracy, completeness or correctness. You agrees to absolve and completely hold harmless 3DForecast.com, its owners and associates, from any and all perceived advisory role and any liability related to investment (or speculative) outcomes realized by you.

COPYRIGHT INFRINGEMENT

3DForecast.com is the copyright owner of all information contained in this Service, except as otherwise indicated. You will not transfer, redistribute, reproduce, re-sell, or communicate in any manner any material provided by us to any third parties other than members of your immediate household without our prior written permission. This includes discussing contents in e-mails, news groups, message boards and discussion forums etc., or linking to materials on our web site. Use or reproduction of information from this Service for any other purpose is expressly prohibited by law, and may result in civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

You are solely responsible for the confidentiality and use of your User ID and Password. Until we are notified that there is a security breach, you shall remain liable for unauthorized service. You agree to notify us immediately upon the discovery of loss, theft, or unauthorized use of your User ID or Password. If you believe that your User ID and Password are no longer secure, you must immediately notify us at the contact e-mail address posted and request that your User ID and Password be changed.

You understand and affirm our right to monitor logins and to suspend or terminate the Service without prior notice if multiple logins using your User ID and Password from more than TWO (2) different Internet addresses are detected within any 24-hour period. The allowance of two internet addresses is primarily for individuals who wish to access the Service from home and a business. After an initial suspension of accessing the Service, and upon your providing an explanation acceptable to us, you will be granted a one-time opportunity to change your User ID and Password and to resume access for the remainder of the original subscription period. A second occurrence of access involving more than TWO (2) addresses within any 24-hour period will result in permanent termination of the Service.

SUBSCRIPTION POLICY

New subscribers receive 30-Day Money Back Guarantee. If you are dissatisfied with our service for any reason, you will receive a full refund if we receive your cancellation request within 30 days of receiving your first subscription payment. After the 30-day period, you may cancel your subscription, but you will not receive any refund or reimbursement of your subscription fee.

The 30-day money back guarantee do not apply to someone who has been a 3DForecast.com subscriber or user in the 12 months prior to his/her new subscription. The 30-day money back guarantee do not apply to subscription renewals. No refunds, whole or partial, shall be made to you by us if you violate the terms of this Agreement.

By subscribing you agree to have your subscription renewed automatically and billed to your credit card at the beginning of each subscription period until you cancel your subscription. You may cancel at any time by sending us an e-mail message. For verification purpose, please indicate in your cancellation request your full name, User ID and the date that you signed up for the Service. You account will be closed on the last day of the billing period in which cancellation request has been received, or immediately upon request.

It is your responsibility to initiate the cancellation and to follow up if your cancellation request is not acknowledged. Your cancellation request must be received by us at least three (3) business days before the end of your billing period. Cancellation request received within the last three (3) business days of your billing period may not be processed until the following billing period, in which case, you may be charged for the next billing period and no refund will be made to you.

Promotional prices and special package deals are one-time-only offers. No extension or renewal is allowed on any of these offers.

We reserve the right to refuse service, terminate subscriptions, or cancel orders in our sole discretion, without notice and without limitation, for any reason whatsoever.

We will make every effort to publish our web site materials in a timely manner; however, because of the myriad of things that can go wrong due to of Acts of God or human error, we cannot guarantee availability of the Service. In the event of a prolonged period of non-availability of the Service, it is solely at the discretion of 3DForecast.com whether any compensation shall be offered to you and what form it shall take.

DISCLAIMER OF LIABILITY & WARRANTY

ANY AND ALL MATERIAL PROVIDED BY 3DFORECAST.COM IS PROVIDED "AS IS" AND WE MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION , ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

3DForecast.com will exercise due diligence in utilization of data that we believe to be reliable and accurate and shall render services to the best of our ability based upon that data. However, we assume no liability or responsibility for any content, inaccuracies, omissions, and transmission delays or problems. You agree to hold us harmless for any act resulting directly or indirectly from our website or e-mail, its content, data, materials and transmissions. In addition, no guarantee is made as to the accuracy, completeness or timeliness of its transmissions. In no event and under no circumstances shall 3DForecast.com, its owners, affiliates, officers, and employees be liable to any subscriber, user, visitor, or any third party for any claims of liability or responsibility for any use or misuse of the services, for any claim or demand made by any party due to, or arising out of, access to the website, use of the Service, the violation of this agreement by subscriber, or any third party using your User ID, or the right of any person or entity for any lost profits, lost opportunities, direct or indirect, special incident, exemplary, consequential, punitive or any other damages arising hereunder based in contract, negligence, strict liability or otherwise whether or not they had any knowledge, actual or constructive that such damages might occur.

We reserve the right to modify the terms and conditions of this Agreement and to terminate your access to and use of the Service at any time and without prior notice.

This Agreement shall be interpreted, construed and enforced in all respects in accordance with the laws of the Province of British Columbia, Canada without reference to conflict of laws principles. By accepting this Agreement you expressly accept the place of binding arbitration shall be Vancouver, British Columbia, Canada. In such proceedings the arbitrator is hereby directed to award to the substantially prevailing party its reasonable attorney's fees and expenses of arbitration and to cast the entire administrative cost of such proceedings on the losing party.
